Common use of Mechanics of Servicing Transfer Clause in Contracts

Mechanics of Servicing Transfer. Transfer of the servicing relating to the Mortgage Loans shall take place in accordance with the terms herein and the procedures set forth in the Servicing Transfer Instructions, attached hereto as Exhibit G. While certain items relating to matters set forth in the Servicing Transfer Instructions are mentioned in the body of this Agreement, such mention or lack thereof, subject to the immediately following sentence, shall not be deemed to operate to release the Seller from its obligation to perform in accordance with the Servicing Transfer Instructions. In the event of a conflict between this Agreement and the Servicing Transfer Instructions, this Agreement shall prevail. The Seller shall mail to the Mortgagor of each related Mortgage Loan a letter advising such Mortgagor of the transfer of the servicing of the related Mortgage Loan to the Purchaser, or its designee, in accordance with the Xxxxxxxx Xxxxxxxx National Affordable Housing Act of 1990; provided, however, the content and format of the letter shall have the prior approval of the Purchaser or its designee. The Seller shall provide the Purchaser or its designee with copies or, if applicable, preliminary forms of all such related notices no later than the related Servicing Transfer Date.
