MEDA Confidential Information Sample Clauses

MEDA Confidential Information. MEDA may from time to time communicate to VIVUS, or VIVUS may otherwise retain or gain access to, certain confidential business or technical information with respect to the Business, MEDA’s operations, business plans or intellectual property after the Effective Date (the “MEDA Confidential Information”). VIVUS shall not disclose, or permit the disclosure of, any MEDA Confidential Information to any third party without the express prior written consent of MEDA, except as otherwise provided in this Article 5. VIVUS shall use the MEDA Confidential Information only for purposes of performing the VIVUS Services. Without limiting the generality of the foregoing, VIVUS shall limit the use and disclosure of the MEDA Confidential Information to those of its employees who need such information to perform the VIVUS Services, and VIVUS shall ensure that each employee who has access to the MEDA Confidential Information complies with the obligations set forth above.
