Common use of Member and Officers Clause in Contracts

Member and Officers. From and after the Effective Time, the member of the Surviving Entity will be the member of the Company immediately prior to the Merger. From and after the Effective Time, individuals serving as officers of the Company immediately prior to the Merger will serve as officers of the Surviving Entity, holding the same titles and positions which such officers held with the Company upon the effectiveness of the Merger.
