Common use of Member Hold Harmless Clause in Contracts

Member Hold Harmless. Provider shall accept the final payment made by ACDE as payment in full for Covered Services provided pursuant to this Agreement. Provider agrees that in no event, including, but not limited to, nonpayment by the Agency to ACDE, nonpayment by ACDE to Provider, the insolvency of ACDE, or breach of this Agreement, shall Provider xxxx, charge, collect a deposit from, seek compensation, remuneration or reimbursement from, solicit or accept any surety or guarantee of payment, or have any recourse against Members or persons other than ACDE acting on their behalf (including parent(s), guardian, spouse or any other person legally, or potentially legally, responsible person of the Member) for Covered Services listed in this Agreement. This provision shall not prohibit collection of supplemental charges or co-payments on ACDE’s behalf made in accordance with terms of an enrollment agreement between ACDE and Members. Provider further agrees that: a. this hold harmless provision shall survive the termination of this Agreement regardless of the cause giving rise to termination and shall be construed to be for the benefit of Members; and that b. this hold harmless provision supersedes any oral or written contrary agreement now existing or hereafter entered into between Provider and Members or persons acting on their behalf.
