Common use of Member Vote; Consent of Manager Clause in Contracts

Member Vote; Consent of Manager. Except as specifically provided in this Agreement, matters upon which the Members may vote shall require a Majority Vote of the Members and the consent of the Manager to pass and become effective. Any amendment to this Agreement shall require the unanimous consent of the Members.
