MEMBERS AND THEIR INTERESTS. (a) The Initial Members in the Company consist of Mxxxxxx Partners, Carlyle 14 and Carlyle 15, each with the Percentage Interest in income and capital distributions of the Company as is defined in ARTICLE I hereof subject to the preferences set forth in SECTIONS 2.06 and 2.09.
