Membership Interests are Securities for UCC Purposes. The membership interests of this Company shall constitute a “security” governed by Article 8 of the Uniform Commercial Code of the State of Delaware (the “UCC”) and any certificate evidencing such membership interest is a “certificated security” within the meaning of Section 8-102(a)(4) of the UCC.
