Membership Units are Securities. The Members agree (in accordance with Section 8-103(c) of the Uniform Commercial Code as in effect in the States of Delaware and Illinois) that the Membership Units shall constitute "securities" as defined in and governed by Article 8 of the Uniform Commercial Code as in effect in the States of Delaware and Illinois.
