Merchants’ Association. 21.1 Xxxxxx agrees that it will join and maintain membership in the merchants association, if any is formed, will pay such dues and assessments as may be fixed and determined from time to time by the association and will comply with such other bylaws, rules and regulations as adopted from time to time by the association.
Merchants’ Association. If and when an association or corporation of merchants or lessees (the “Association”) is formed comprising tenants of the City Market, the Lessee shall forthwith become a member of such Association or if such an Association has already been formed, the Lessee shall forthwith become a member thereof and the Lessee shall retain its membership in such Association during the entire Term and shall abide by all rules, regulations, by-laws, decisions, directions, dues and assessments of the Association. Such Association shall in no way affect the rights of the Lessor and any by-laws, rules and regulations of such Association shall at all times be subject to the prior approval of the Lessor.
Merchants’ Association. Landlord may, at its option, create and maintain a Merchants' Association (the "Association") in lieu of the Fund and the Media Fund. In that event, Tenant agrees to contribute to the Association, beginning upon the later to occur of (a) the Commencement Date or (b) the date the Association is created, the sum of the amounts Tenant would be obligated to contribute to the Fund and the Media Fund under Sections 14.1 and 14.3 had Landlord create and maintained the Fund and the Media Fund. Such amount shall be payable by Tenant to the Association in equal monthly installments, in advance, on the first day of each and every month (prorated for partial months). Landlord shall contribute to the Association during each calendar year an amount equal to the amount Landlord would otherwise be required to contribute to the Fund in accordance with Section 14.1 above. Any overpayment or underpayment of such amount by Landlord shall be adjusted annually.
Merchants’ Association. Tenant shall become a member of, participate fully in, and remain in good standing in the Merchant's Association (as soon as the same has been formed) which shall be limited to tenants occupying premises in the Shopping Center, and shall abide by the regulations of such Merchants Association. Tenant shall be entitled to receive notice and the right to vote at all meetings of the Merchant's Association if in good standing.
Merchants’ Association. 21.1 Promotion Fund: Landlord reserves the right at any time to alternately establish either a Merchants’ Association or Promotion Fund. Upon the establishment of either a Merchants’ Association or Promotion Fund, Tenant shall comply with all of its obligations with respect thereto as set forth in subparagraphs 21.2 and 21.3 of this Lease.
Merchants’ Association. If a Merchants' Association is established by consent of two-thirds (2/3) of the tenants then all tenants shall pay annual dues which shall entitle them to become a member of the Merchants' Association. Tenant shall at all times abide by the rules and regulations as the same will be adopted, revised and amended.
Merchants’ Association. If other tenants in the Shopping Center are required to and become members of a merchant's association, Tenant agrees that it will become a member of, and participate fully in, and remain in good standing in such merchant's association, organized for tenants occupying premises in the Shopping Center, and Tenant will abide by the rules, regulations, declaration and by-laws of such merchant's association. Tenant agrees to pay all dues to, and charges of, such merchant's association as established by the board of directors of such merchant's association.
Merchants’ Association. Lessee agrees to become a member of, and participate fully in, and remain in good standing in any association (in the event such an association is formed), organized for lessees occupying the Shopping Center, and Lessee will abide by the regulations of such association; provided that lessees occupying not less than sixty percent (60%) of the floor area in the Slopping Center are members of the association. Default in payment of dues or assessments shall be treated in similar manner to default in rent with like rights of Lessor at its option to the collection thereof on behalf of the association.
Merchants’ Association. Tenant shall promptly become a member of and during the entire term of this lease, participate fully in, and remain in good standing in the Merchants' Association limited to tenants occupying premises in the Shopping Center and adjoining stores and abide by the regulations of such association. Each member tenant shall have one vote and the Landlord shall also have one vote in the operation of said association. The objects of such association shall be to encourage its members to deal fairly and courteously with their customers, to sell their merchandise or services at fair prices, to follow ethical business practices, to assist the business of the tenants by sales promotions and center-wide advertising, and in particular, to help the interests of members of the said association, The tenant agrees to pay dues to the Merchants' Association in the amount of 11 cents per square foot per year of the total area of the leased premises. Said amounts shall be collectible by the Merchants' Association or by Landlord as additional rent hereunder and shall be payable in each year of the term in twelve (12) equal monthly installments at the times and places and in the same manner as fixed minimum rent is payable hereunder. In any event, the continuing monthly contributions to the Association will be adjusted annually by a percentage equal to the percentage increase from the base period of the United States Department of Labor, Bureau
Merchants’ Association. In the event that Landlord shall organize a merchant’s association composed of tenants I the Premises, Tenant agrees that it will join, actively participate, and maintain current membership in such association, will pay such dues and assessments as may be fixed and determined from time t time by the association and will comply with such reasonable bylaws, rules and regulations as may be adopted from time to time by the association.
