Merck Cessation of Collaboration Activities. Notwithstanding anything to the contrary set forth herein, on a Program-by-Program basis, at any time during the Merck Participation Term for a given Program, Merck shall have the right, but not the obligation, to elect to cease performance of activities under the Collaboration with respect to such Program upon delivery of [***] prior written notice to Moderna (each, a “Merck Cessation Election”). Each Merck Cessation Election for a given Program shall clearly identify [***]. Subject to the terms of this Agreement, upon the exercise of a Merck Cessation Election for a given Program, the following shall apply:
