Merger Agreement in Full Force and Effect. Purchasers shall have received a fully executed or conformed copy of the Merger Agreement and any documents executed in connection therewith, and the Merger Agreement shall be in full force and effect and no provision thereof shall have been modified or waived in any respect determined by Purchasers to be material, in each case without the consent of Purchasers.
