Common use of Merger, Conversion, Consolidation or Succession to Business of Master Servicer Clause in Contracts

Merger, Conversion, Consolidation or Succession to Business of Master Servicer. Subject to the immediately succeeding sentence, any corporation into which the Master Servicer may be merged or converted or with which it may be consolidated, or any corporation resulting from any merger, conversion or consolidation to which the Master Servicer shall be a party, or any corporation succeeding to all or substantially all of the business of the Master Servicer, shall be the successor of the Master Servicer hereunder, without the execution or filing of any paper or any further act on the part of any of the parties hereto provided (x) that such corporation meets the qualifications set forth in Section 11.1(g) and (y) that any successor Master Servicer must meet the qualifications set forth in Section 11.1(g). Any Affiliate into which the Master Servicer may be merged or converted or with which it may be consolidated, or any corporation resulting from any merger, conversion or consolidation of the Master Servicer and an Affiliate, or any Affiliate succeeding to all or substantially all of the business of the Master Servicer, shall be the successor of the Master Servicer hereunder, without the execution or filing of any paper or any further act on the part of any of the parties hereto.
