Common use of Merger Meeting Clause in Contracts

Merger Meeting. The Merger will be consummated as soon as practicable (and in no event later than four months) after the purchase of shares of Common Stock pursuant to the Offer. If Merger Sub is able to do so under Delaware Law, it will consummate the Merger pursuant to the “short form” merger provisions of Delaware Law. Parent and Merger Sub will vote, or cause to be voted, all shares of Common Stock beneficially owned by them in favor of the Merger.
