Common use of Merger of Prior Agreements and Understandings Clause in Contracts

Merger of Prior Agreements and Understandings. This Settlement Agreement contains the entire understanding among the parties, supersedes any prior or contemporaneous written or oral agreements, understandings and representations between the parties respecting the subject matter contained in this Settlement Agreement, and merges all prior negotiations concerning such subject matter into this Settlement Agreement. The parties agree that there are no representations, agreements, arrangements or understandings, oral or written, between the parties relating to the subject matter of this Settlement Agreement which are not fully expressed in this Settlement Agreement. The terms of this Settlement Agreement are contractual and not a mere recital. This Settlement Agreement cannot be modified other than by a written amendment referencing the terms of this Settlement Agreement.
