Merger Sub and the Surviving Company. CABO shall form Merger Sub and shall take all actions necessary to (a) cause Merger Sub and the Surviving Company to perform promptly their respective obligations under this Agreement and (b) cause Merger Sub to enter into the Short-Form Purchase Agreement and Call / Put Merger Agreement and consummate the Merger on the terms and conditions set forth herein and in the Call / Put Merger Agreement. CABO unconditionally guarantees the full and prompt performance by Merger Sub and the Surviving Company, as applicable, of their respective obligations under this Agreement and the Call / Put Merger Agreement.
Merger Sub and the Surviving Company. Purchaser shall take all actions necessary to (a) cause Merger Sub and the Surviving Company to perform promptly their respective obligations under this Agreement and (b) cause Merger Sub to consummate the Merger on the terms and conditions set forth in this Agreement. Purchaser unconditionally guarantees the full and prompt performance by Merger Sub and the Surviving Company, as applicable, of their respective obligations under this Agreement.
