Merger Sub Status Clause Samples

Merger Sub Status. Merger Sub is an indirect, wholly-owned subsidiary of Parent that is wholly owned by an entity that is disregarded as separate from Parent for U.S. federal income tax purposes. Merger Sub is and has been at all times since its formation an entity disregarded as separate from its owner for U.S. federal, state and local income tax purposes. Since Merger Sub’s formation, it has not carried on any business nor conducted any operations other than the execution of this Agreement, the performance of its obligations hereunder and matters ancillary thereto.
Merger Sub Status. Merger Sub has never conducted any business and has not assumed or incurred, in any respects, any liabilities of any kind whatsoever. Merger Sub has no assets.

Related to Merger Sub Status

  • Merger Sub Stock Each share of common stock, par value $.01 per share, of Merger Sub issued and outstanding immediately prior to the Effective Time shall be converted into and exchanged for one (1) duly and validly issued, fully paid and nonassessable share of common stock of the Surviving Corporation.

  • Merger Sub At the Effective Time, each share of common stock, par value $0.01 per share, of Merger Sub issued and outstanding immediately prior to the Effective Time shall be converted into one share of common stock, par value $0.01 per share, of the Surviving Corporation.

  • Merger of Merger Sub into the Company Upon the terms and subject to the conditions set forth in this Agreement, at the Effective Time (as defined in Section 1.3), Merger Sub shall be merged with and into the Company, and the separate existence of Merger Sub shall cease.   • Merger Sub Common Stock At the Effective Time, each share of common stock, par value $0.01 per share, of Merger Sub (“Merger Sub Common Stock”) issued and outstanding immediately prior to the Effective Time shall be automatically converted into one fully paid and nonassessable share of common stock, par value $0.01 per share, of the Surviving Corporation.
