Merger Upon Recording of the Deed. Unless sooner terminated by specific written agreement of Seller and Purchaser, upon the recording, if at all, of a deed (the “Deed”) in the Records from Seller to Purchaser (or Purchaser’s permitted assignee under the Purchase Agreement), this Memorandum shall, immediately and without further action, be deemed to have merged with and into such Deed; provided, however, such merger shall not be construed to define, limit or modify the Purchase Agreement.
