Method of Cooperation. 2.2.1 Party A will provide Party B with online information resources.
2.2.2 Party B will use Party A’s service platform to solicit unified orders from its member organizations on a regular basis.
2.2.3 Party A shall be responsible for opening the book information provided on its service platform to “xxx.xxxxx.xxx” website, assisting Party B with book purchase and delivery on Party A’s platform. Party B shall have plenary responsibility for the specific requirements for book purchase resource information, long-term planning and construction, and operations of “xxx.xxxxx.xxx” website.
2.2.4 Party A will be responsible for developing the software that interfaces with both party’s websites and for sharing book information resources, it will also be responsible for developing book online transaction management system. It will be compensated for such developments. Party B will be responsible for assisting Party A in completing the interface of both party’s websites, it will also provide the business requirements for book online transaction management system.
Method of Cooperation. 2.2.1 Party A will invest in terms of the usage right of the brand name of “China Education Equipment Website” and its technical support.
2.2.2 Party B will invest in funding support and the operation of the website.
2.2.3 Party A will be responsible for providing technical support and guidance to the “China School Online Library” of China Education Equipment website; while Party B will have the plenary responsibility for the lone-term planning and construction, operation and management of the project.
Method of Cooperation. For the communications resources of CARES to be coordinated and used to the fullest advantage during disasters and emergencies, and to the extent permitted or required by law and regulation, SJWC and CARES agree to the following:

2. CARES will identify an individual as the key contact with SJWC. This individual will provide close cooperation and direct operational assistance to SJWC by CARES in emergency communications planning and coordination of amateur radio communications facilities during an emergency.
3. CARES and SJWC will engage in an on-going dialog on emergency preparedness with each other. They will urge both staff and volunteers to create and maintain appropriate communications and effective relationships at all levels of both organizations.
4. CARES will work with SJWC in pre-emergency planning, drills, exercises, and training programs at SJWC’s operational level.
5. CARES and SJWC will work together to develop operating plans such that communications services, equipment, and facilities of the Amateur Radio Service may be coordinated within the context of the CARES’ city response.
6. When there is a disaster requiring amateur radio communications and CARES is formally activated by the City of Cupertino, SJWC will participate in the CARES emergency communications network and request the assistance of CARES through the Cupertino EOC. The SJWC requests will be prioritized with other City requests. This assistance may include: • Dispatching CARES members to SJWC critical facilities in Cupertino to perform and report on preliminary damage assessments. • Exchanging emergency messages of interest with SJWC either directly or indirectly through established emergency communications channels as defined by the Santa Xxxxx County Office of Emergency Services. • Establishing and maintaining portable station emergency communications between SJWC facilities and the Cupertino EOC. • Establishing and maintaining mobile station communications between SJWC officials and the Cupertino EOC as required (Shadows). • Maintaining the continuity of communications for the duration of the emergency period or until normal communications channels are substantially restored.

Method of Cooperation. 2.1 Each Party shall appoint a contact person for the implementation of the Project. This contact person shall also be the Project Manager of the Project. Each Party may replace its contact person. The Party concerned shall notify the other Party accordingly.
2.2 The planning agreed between the Parties is indicative; the Research Institute reserves the right to change this planning unilaterally without giving reasons.
Method of Cooperation. Party B shall invest funding for the construction and operation, and provide website platform, technical support and maintenance; Party A shall organize relevant experts and invest the resources and information of the curriculum areas. The two parties shall jointly construct the Curriculum Expert Website under the Education Resources Information Platform (xxx.xxxxx.xxx) (Hereinafter referred to as “Cooperation Project”). Furthermore, based on the above-mentioned Curriculum Expert Website, the parties shall undertake market promotion and development, set up an effective business model, and share profits.
Method of Cooperation. Party B shall contribute one unit of China-made OUR-XGD III rotating focalizing gamma knife equipment, and Party A shall provide the requisite premises and medical staff which meet the requirements of operation of the gamma knife equipment. Section V Responsibilities of the Parties
Method of Cooperation. The Parties agree that cross-strait crew cooperation shall be conducted through management legal bodies designated by each Party, and each Party shall establish a risk assessment system binding upon its management legal bodies.

When there is a disaster requiring amateur radio communications and CARES is formally activated by the City of Cupertino, the CuSD will participate in the CARES emergency communications network and request the assistance of CARES. This assistance may include: • Establishing and maintaining fixed, mobile, and portable station emergency communication capabilities for local amateur radio coverage and point-to-point contact between CuSD officials and remote locations, as required • Maintaining the continuity of communications for the duration of the emergency period or until normal communications channels are substantially restored.
7. Distribute copies of this agreement to CARES organization members and include it in the CuSD Emergency Plan.
Method of Cooperation. Upon the execution of this Agreement, XRF shall establish a wholly owned subsidiary in China to serve as a project company for the cooperation (hereinafter referred to as the "Project Company") to engage in the loan assistance business. OET shall secure credit line funding from licensed financial institutions in China that are qualified to issue loans to the Project Company. The Project Company shall, with the assistance of OET, continuously develop new products and services, assist XRF to complete its business transformation, improve XRF's consolidated revenues and cash flow and create value for the shareholders of XRF. To help incentivize OET to achieve these goals, XRF shall issue to OET a Warrant for the purchase of an aggregate of up to 66,402,480 Class A ordinary shares of XRF upon the achievement of certain EBITA milestones by the Project Company (hereinafter referred to as “Shares”), which will be exercisable upon the achievement of certain milestones described therein, a form of which is attached hereto as Annex A (hereinafter referred to as the “Warrant”).
