Miami Operations. Tandem Miami shall use all commercially reasonable efforts to lease the Miami Land and the Miami Improvements (pursuant to an Operating Lease approved by Lender and otherwise subject to Section 8.4 hereof), and transfer operation of the Location, all Personal Property and all Licenses related thereto, to OP Miami, Inc. promptly after Closing; the date on which such lease and transfer takes place is referred to herein as the “Miami Transfer Date.”
