Miami Tower. (i) Miami Tower is treated as a partnership for U.S. Federal income Tax purposes under Treasury Regulation § 301.7701-3(b)(1)(i) and has not, within the past five years, made an election under Treasury Regulation § 301.7701-3(c) to be taxed as a corporation and (ii) the assets held by Miami Tower are used in the Business and not in any business conducted by the Xxxxxx Group other than the Business.
