Middlemarch Effectiveness. Middlemarch shall become a party to this Agreement upon MCP-FS, L.P.’s execution of the Middlemarch Subscription Agreement, the consummation of the transactions therein and the execution by MCP-FS, L.P. of a counterpoint signature page hereto.
