Common use of Minimal Adjustments Clause in Contracts

Minimal Adjustments. No adjustment in the Exercise Price subject to this Warrant shall be made if such adjustment would result in a change in the number of shares represented by this Warrant of less than one share (the “Adjustment Threshold Amount”). Any adjustment not made because the Adjustment Threshold Amount is not satisfied shall be carried forward and made, together with any subsequent adjustments, at such time as (a) the aggregate amount of all such adjustments is equal to at least the Adjustment Threshold Amount or (b) the Warrant is exercised.
