Minimum Exchange Requirements. Each Holder represents that, to its knowledge, the number of such Holder’s Exchanged Shares is at least equal to the Minimum Shares, and the number of Sale Shares being subscribed to by such Holder has a purchase price of at least the Minimum Investment.
