Common use of Minimum Purchase Price Clause in Contracts

Minimum Purchase Price. If the Pledgee fails to enter into a purchase agreement with respect to the Movable Assets: (a) in the event of the direct sale within 60 days after the delivery of the notice to the Pledgor pursuant to Clause 7.2 (Commencement of the Enforcement of the Pledge), or (b) in the event of the sale in public tender, in the second round, due to the lack of interest on the side of the buyers, the Pledgee may sell the Movable Assets by any of the methods specified in Clause 7.3 (Methods of Enforcement of the Pledge) for a purchase price lower than the minimum price determined in accordance with Clause 7.4 (Enforcement due to Material Breaches - Conditions of Sale) or Clause 7.5 (Enforcement due to Other Breaches - Conditions of Sale).
