The guaranteed minimum ad revenue rate (the "Minimum Revenue Rate") per page view paid to the Venture will be based on the average ad revenue rate per page view of publicly traded Internet companies involved in activities comparable to those of the Venture. If a mutually agreeable rate can not be determined, then the rate will be based on the Venture's 12 month trailing average.
