Minimum Royalty Rate. Anything contained in this Agreement to the contrary notwithstanding, none of the reductions to royalties provided in Sections 5.3(b), 5.3(c) and 5.3(d) hereof, shall, individually or in the aggregate, [***] the royalties payable with respect to Net Sales of any Licensed Product sold by Lilly, its Affiliates and its Sublicensees in any country during the Royalty Term by more than [***] of the royalties otherwise owed to ImmunoGen pursuant to Section 5.3(a) or 5.3(e), as applicable, without giving effect to any royalty reduction provided in Section 5.3(b), 5.3(c) or 5.3(d) hereof.
Minimum Royalty Rate. During the Royalty Term the operation of [ * ], singularly or in combination, shall not reduce the royalties due to Exelixis for any Product below [ * ] percent ([ * ]%) of what would otherwise have been due under Section 9.3(a).
Minimum Royalty Rate. Notwithstanding any other provision of this Agreement, in no event shall the net royalties paid to Neurocrine on Net Sales of Collaboration Products under Section 9.1.3 or Section 9.2 above be reduced to less than [ * ] of such Net Sales. As used in this Section 9.5, "net royalties" shall mean the amount of royalties actually paid to and retained by Neurocrine after all credits and adjustments provided under this Agreement, and after deducting any amounts paid by Neurocrine to third parties under any Third Party Agreement(s) and not reimbursed by Ciba thereunder.

Notwithstanding the foregoing provisions of this Section 5.4.3 (but subject to Section 5.4.3(c) and 5.4.6), for so long as NewLink [**] as a result of sales of Product by Merck or its Related Parties in the Royalty Bearing Territory hereunder, in no event shall the royalty rate payable by Merck under this Section 5.4 due on Product Net Sales hereunder be reduced pursuant to the foregoing provisions of this Section 5.4.3 to less than [**], including [**]; provided that, for clarity, the provisions of this Section 5.4.3(d) are not intended to, and shall not be interpreted to, expand Merck’s royalty obligations hereunder (other than with respect to the royalty rate payable by Merck as expressly set forth in this Section 5.4.3(d)), including [**].
Minimum Royalty Rate. The Royalty Rate for royalties paid to WU hereunder shall not be reduced below [***] percent ([***]%) as a result of the Stacking Royalty and/or Combination Product provisions in Sections 5.3.2 and 5.3.3.
Minimum Royalty Rate. Anything contained in this Agreement to the contrary notwithstanding, none of the reductions to Royalties provided in Sections 7.2(b) or (c), or (e) will, individually or in the aggregate, reduce the Royalties payable with respect to Net Sales of any Product sold by Xxx, its Affiliates and its Sublicensees in any country or jurisdiction during the License Term by more than [***] of the Royalties otherwise owed to Xxxxxxxx pursuant to Section 7.2(a).

Anything contained in this Agreement to the contrary notwithstanding, none of the reductions to royalties provided in Sections 6.4.3 and 6.4.4, shall, individually or in the aggregate, [***] the royalties payable with respect to Net Sales of the Licensed Product sold by Jazz, its Affiliates and its Sublicensees in any country during the Royalty Term by more than [***] of the royalties otherwise owed to ImmunoGen pursuant to Section 6.4.1 or 6.4.6, whichever is applicable, without giving effect to any royalty reduction provided in Section 6.4.3 or 6.4.4.
Minimum Royalty Rate. Anything contained in this Article 11 to the contrary notwithstanding, none of the reductions to royalties provided in Section 11.3.2 or 11.3.3, shall, individually or in the aggregate, reduce the royalties payable with respect to ImmunoGen Net Sales of the ImmunoGen Product sold by ImmunoGen, its Affiliates and ImmunoGen Licensees in any country during the applicable royalty term by more than [***] of the royalties otherwise owed to Jazz pursuant to Section 11.3.1 without giving effect to any royalty reduction provided in Sections 11.3.2 and 11.3.3.
Minimum Royalty Rate. The maximum aggregate royalty reductions with respect to any given Product as a result of this Section 7.8.4 shall not exceed […***…] percent ([…***…]%) of the corresponding royalty rate identified in Section 7.8.1.
