Minimum Working Capital Amount. Owner shall commit the financial and other resources necessary to permit the Condo-Hotel to be operated and maintained in accordance with the Operating Standard. In furtherance of the foregoing, Owner shall make available, prior to the Opening Date, initial Working Capital in accordance with the Project Budget as approved by Owner and in accordance with the Condominium Documents. Owner shall thereafter throughout the Term maintain Working Capital in accordance with the Project Budget in accordance with the Joint Venture Agreement and the Condominium Documents. Operator shall be entitled to retain Working Capital in the Operating Account.

In furtherance of the foregoing, Owner shall make available, prior to the Crystals Component Opening Date, initial Working Capital in accordance with the Project Budget as approved by Owner. Owner shall thereafter throughout the Term maintain Working Capital in accordance with the Project Budget.

Minimum Working Capital Amount. It is the intent of the parties hereto that the Operating Account, at all times during the term hereof, shall have a balance at least equal to the Minimum Working Capital Amount. If at any time Manager reasonably estimates that the funds then in the Operating Account are less than the Minimum Working Capital Amount, Manager shall deliver to LLIDA written notice of such shortage and LLIDA, within ten (10) calendar days after receipt of such notice, shall deliver to Manager (by federal wire transfer of funds to the Operating Account) additional working capital in the amount of such shortage.

In furtherance of the foregoing, Owner shall make available to Operator immediately after the Opening Date, for the operation of the Hotel, initial working capital in an amount determined by Operator, anticipated to be, prior to the addition of any of the Additional Rooms as Guest Rooms subject to this Agreement, an amount equal to Nine Hundred Thousand Dollars ($900,000.00), and after the addition of any part of the Additional Rooms as Guest Rooms subject to this Agreement, an amount equal to One Million One Hundred Twenty-Five Thousand Dollars ($1,125,000.00). Owner shall thereafter throughout the Term maintain Working Capital of not less than the greater of (i) the foregoing amount, or (ii) such amount reasonably determined to be necessary by Operator from time to time, as approved by Owner in the Annual Plan.
Minimum Working Capital Amount. At the Closing Date, the Estimated Working Capital plus any Closing Adjustment to be received by Kitara Media shall equal $2.5 million.
