Mining Operations. Lessee will conduct mining operations on the Premises and the Surface Lands in a reasonable and professional manner in accordance with standard practices employed in western Kentucky coalfields. Lessee shall conduct its mining operations in accordance with, and shall comply with, all state and local laws and the lawful rules, regulations and orders of any governmental authority in respect of such mining operations. Lessor grants to Lessee the right, at the cost and expense of Lessee, to do and perform, with respect to the Premises, whatever may be required to be performed by Lessee, or may be deemed by Lessee to be required or to be advisable, in order to comply with federal, state or local law or the lawful rules, regulations or orders or any governmental authority. Lessor further agrees to execute and deliver upon the request of Lessee any additional forms or documentation required by any governmental agency or bureau with regard to the prosecution of the mining operation.
Mining Operations. All mining operations on the properties of the Company and the Subsidiaries have been conducted in all material respects in accordance with good mining and engineering practices and all applicable workers’ compensation and health and safety and workplace laws, regulations and policies have been duly complied with.
Mining Operations. Any mining, extracting, producing, handling, milling, leaching, beneficiation or other processing of ores; any preparation for the removal and recovery of minerals, in-fill drilling, pre-production stripping, stripping and the construction or installation of any mill, lxxxx facilities, or any other improvements to be used for the mining, extracting, producing, handling, milling, leaching, beneficiation or other processing of ores; actions performed during or after the foregoing to comply with the requirements of all Environmental Laws or contractual commitments related to reclamation of the Property or other compliance with Environmental Laws; and the attendant reclamation and remediation and closure upon completion of the foregoing, including obligations or responsibilities that are reasonably expected to or actually continue or arise, such as, without limitation, future monitoring, management, treatment or stabilization.
Mining Operations. 58. The Parties recognise that any licence or other authority to undertake Mining Operations can only be granted in accordance with the provisions of the Mineral Resources (Sustainable Development) Act 1990 (Vic) which, amongst other things, regulates the grant of licences and authorities within components of the CAR Reserve System. The Act provides that (subject to any relevant exemptions) no under legislative provisions in Victoria, issuing of new exploration licences and subsequent mining is not permitted or authority can be issued in respect of land that is within National Parks, Wilderness Parks, State Parks and or Reference Areas.
Mining Operations. (a) The Company has made available to the Investors and their representatives all material proprietary geological data, reserve data, existing mine maps, surveys, title insurance policies, title insurance, abstracts and other evidence of measurements, samples, lithologic data, reserve calculations or reports, washability analyses or reports, mine plans, mining permit applications and supporting data, engineering studies and information, maps, reports and data relating to or affecting the Mining Activities requested by the Investor(s).

Mining Operations. Except as set forth on Schedule 4.41, during the period of the Companies’ ownership of the mining properties, and, to the best of their knowledge, during the period of prior ownership of the mining properties (i) none of the Companies nor any of their respective Affiliates has incurred any liability, nor does a state of facts exist which could give rise to a liability for damages, fines or levies as a result of any subsidence, water, air or other environmental contamination, conduct of mining development and operations, or similar occurrences, which individually or in the aggregate, would constitute a Material Adverse Effect; (ii) the mining operations conducted on the mining properties have been conducted in accordance with good miner/mining practices, and in compliance with all applicable laws, regulations, ordinances, decrees and directives affecting the property or the Business.
Mining Operations. The Borrower shall develop, maintain and operate the Mining Operations in accordance with the Development Plan in all material respects and procure that the same and other assets of the Borrower are maintained and diligently operated for the extraction, production, transportation, storage, processing and delivery of gold in a good and workmanlike manner and in accordance with (a) prudent industry practices, (b) the Transaction Documents and (c) in all material respects, all applicable Laws, rules and regulations, and procure that appropriate action is taken according to practices of prudent operators in the industry to maintain and manage the Mining Operations and all operations on such sites and procure that all machinery, equipment and facilities of any kind now or hereafter forming part of the same or on such sites as necessary for the extraction, production, transportation, storage, processing, delivery or marketing of gold are provided and are kept in all material respects in good and efficient operating condition (taking into account reasonable wear and tear).
