MINISTER'S RIGHT TO AUDIT. 9.1 The Minister reserves the right to audit or cause to have audited the accounts and records of the Recipient, or any Agency of the Recipient, relating to the Funding in order to ensure compliance with theterms and conditions of this Agreement. Thescope, coverageand timing of such a Ministerial Auditshall be as determined by the Ministerand, if conducted, may be carried out by employees of the Minister, or the Minister's agent(s). 9.2 The Ministerwillnotifythe Recipient in writing at leasttwo(2) weeks in advance of a Ministerial Auditunderthis section. 9.3 The Recipient shall provide the Minister with all accounts, records and supporting documentation relating to the Funding, for the purposes of a Ministerial Audit, and shall provide all necessary assistance, including reasonable access to itspremises, forsuch Ministerial Audits. 9.4 The Recipientshallpermitthe Minister to inspect all of itsoriginalaccounts, recordsandsupporting documentation relating to Funding, andshallpermitthe Minister to takecopiesandextractsfromsuchrecords during a Ministerial Audit. The Minister shall not, unless authorized by law or by the Recipient, remove or cause to be removed any originalbooks,records or supportingdocumentationfromthe Recipient'spremises. 9.5 If at any time duringthe term of this Agreement, the Ministerbelievesthatthere mayhave been a default by the Recipientunderthis Agreement, the notice period setout in subsection 9.2 shall notapplyand the Recipientshall, on request, provide the Minister with access to its accounts, records and supporting documentation relating to the Funding, or those of any Agency, withoutdelay.
MINISTER'S RIGHT TO AUDIT. Accounts and Records Allelix will, at its own expense, preserve and make available for audit and examination by the Minister or the Minister's representatives the books, accounts and records of the Project and of the information necessary to ensure compliance with the terms and conditions of this Agreement, including Royalty Payments. The Minister will have the right to conduct such additional audits at the Minister's expense as may be considered necessary using the audit staff of the Minister, the Audit Services Group of Consulting and Audit Canada, an independent auditing firm or Allelix's external auditors. Any licence agreement for the production of the Resulting Products between Allelix and a third party shall contain similar provisions to permit the Minister to audit the calculation of Royalty Payments or other payments payable to the Minister under this Agreement.
