Minnesota Notices. Notwithstanding the provisions of the GOVERNING LAW paragraph above to the contrary, I agree that this Agreement is governed by the laws of the Georgia. I understand that IOU Central, Inc. is a Delaware corporation whose principal place of business is in Georgia, that this Note will not be effective until accepted by you at your place of business in Georgia, that the loan proceeds will be disbursed from Georgia and that your performance under the Note involves your sending payments due hereunder to me in Georgia.
