Common use of Minute Books and Records Clause in Contracts

Minute Books and Records. The minute books and records of the Company which the Company has made available to the Agent and its counsel, Xxxxxxx Xxxxx & Xxxxxxxxx LLP, in connection with their due diligence investigation of the Company for the period requested to the date of examination thereof are all of the records of the Company for such period and contain copies of all constating documents, including all amendments thereto, and all material proceedings of securityholders and directors (and committees thereof) and are complete in all material respects.

Minute Books and Records. The minute books and records of the Company and the Subsidiaries which the Company has made available to the Agent and its counsel, Xxxxxxx Xxxxx & Xxxxxxxxx LLP, counsel in connection with their due diligence investigation of the Company and the Subsidiaries, for the period requested from January 1, 2014, to the date of examination thereof thereof, are all of the minute books and all of the records of the Company and the Subsidiaries for such period and contain copies of all constating documents, including all amendments thereto, and all material proceedings of securityholders and directors (and committees thereof) and are complete in all material respects.
