Minute Books; Stock Books; Officers and Directors. The minute books of the Company which have been made available to the Purchaser for its inspection contain true and complete records of all meetings and consents in lieu of meetings of the Board of Directors (and any committee thereof) of the Company and its shareholders since incorporation and accurately reflect all transactions referred to in such minutes and consents in lieu of meetings. The stock books of the Company which have been made available to the Purchaser for its inspection are true and complete. Attached as Section 3.28 of the Disclosure Schedule is a true and correct list of the officers and directors of the Company as of the date of this Agreement.
