MIS, Simco and Autoflex have delivered to. Compuware a true and complete copy of each written instrument or document (including all amendments thereto), and a true and complete written summary of each unwritten understanding, which is identified on Schedule 5.6 to this Agreement. Schedule 5.6 includes true and correct copies of all forms of customer agreements which are representative of those used by MIS, Simco and Autoflex (as appropriate).

  • Representations and Warranties True as of the Closing Date The representations and warranties of Purchaser contained in this Agreement or in any list, certificate or document delivered by Purchaser to Sellers pursuant to the provisions hereof shall be true and correct on the Closing Date with the same effect as though such representations and warranties were made as of such date.
