Common use of Miscellaneous Closing Deliveries Clause in Contracts

Miscellaneous Closing Deliveries. The Buyer shall have received each of the following: (a) all documents, instruments and other closing deliveries specified in Sections 3.2(a) and Article 7; and (b) such evidence as the Buyer may reasonably request in order to establish (i) the corporate power and authority of the Seller to consummate the transactions contemplated by this Agreement and (ii) compliance with the conditions of Closing set forth herein.

Miscellaneous Closing Deliveries. The Buyer Seller shall have received each of the following: (a) all documents, instruments and other closing deliveries specified in Sections 3.2(a) and Article 7Section 4.2(b); and (b) such evidence evidence, including appropriate certificates of the Buyer's authorized officers, as the Buyer Seller may reasonably request in order to establish (i) the corporate power and authority of the Seller Buyer to consummate the transactions contemplated by this Agreement Agreement, and (ii) compliance with the conditions of Closing set forth herein.
