Miscellaneous General. Consultant binds itself, its partners, officers, successors, assigns and legal representatives to the City under the terms and conditions of this Agreement as described herein. Any conflict between a term or condition of this Agreement and a term or condition contained in an exhibit to this Agreement will be resolved in favor of the language in this Agreement. The CONSULTANT and the CITY hereby agree to all provisions of this AGREEMENT.

The Union shall also have access to the inter-school mailing system for distribution of notices to be posted. A copy of all notices will be forwarded to the School Administration.
Section 2 The Union will be permitted the use of school facilities for regular and special business meetings of the Union and for committee meetings on Union business as well, provided that such use is requested and can be arranged in advance without disrupting other commitments for use of the premises and without incurring additional cost to the School District. It is mutually understood and agreed that no Union activities will be carried on during working hours excepting those activities pertinent to the grievance or negotiations procedures. Intra-school mail delivery will be made available to buildings and departments in the District.

Miscellaneous General. Changes and additions to this agreement and any of its components, including any warranties of the contractor require a written agreement and the explicit reference to the fact that it is a change or supplement of these terms. This also applies to the waiver of this form requirement. Should the Client's data be endangered by seizure or confiscation by the Contractor, by insolvency or composition proceedings or by other events or measures of third parties, the Contractor shall immediately inform the Client thereof. The Contractor shall immediately inform all persons responsible in this context that the sovereignty and ownership of the data lies exclusively with the Customer as the person responsible within the meaning of the Basic Data Protection Regulation. Amendments and supplements to this Annex and all its components - including any assurances by the Contractor - shall require a written agreement, which may also be made in an electronic format (text form), and an express reference to the fact that these Terms and Conditions have been amended or supplemented. This also applies to the waiver of this formal requirement. In the event of any contradictions, the provisions of this annex on data protection shall take precedence over the provisions of the contract. Should individual parts of this appendix be invalid, this shall not affect the validity of the remainder of the appendix.
Miscellaneous General a. This Agreement represents the entire understanding and agreement between the parties hereto with respect to the subject matter hereof and all prior negotiations, understandings and agreements between the parties hereto concerning the subject matter hereof are hereby superseded. No modification or amendment hereof shall be valid and binding, unless it be in writing and signed by the parties hereto.
b. This Agreement shall inure to the benefit of, and shall be binding upon, the Seller and Purchaser, and their respective successors and assigns.
c. The representations, warranties and covenants contained in this Agreement shall survive the sale of the GMET Shares to the Purchaser and their payment therefor, and shall remain effective.
d. Section headings are inserted herein for convenience only and shall not control or affect the meaning or construction of any of the provisions hereof.
e. This Agreement shall be construed in accordance with, and governed by, the laws of the State of New York.
f. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

a. Request is made and approved and the use is strictly to service the legitimate business needs of the Union, such as the duplication of records, notices, correspondence, etc.
b. The purpose is for internal business use of the Union, and is not for public distribution.
c. Supplies in connection with such equipment use will be furnished or paid for by the Union.
Section 3 New jobs in the Bargaining Unit may be created by the School Administration. The Union will be notified upon the creation of a new job and the parties shall meet at the Union's request to negotiate wage rates for the particular job, and to establish the rate at an appropriate place in the wage structure. In the event that agreement is not forthcoming within fifteen (15) days, which shall include at least three (3) meetings, it shall become a proper matter for the grievance procedure.
Section 4 Safety problems and recommendations shall be a proper subject for special meetings, as elsewhere provided.
Section 5 All ten (10) month employees who work for the School District during the summer recess period in classifications other than their own will be paid the new hire starting rate of pay for the classification in which they are performing plus only the fringe benefits currently being received as a ten-month (10) employee (including longevity at the appropriate scale and holiday pay, if qualified). Miscellaneous General. 10.1 If the client's personal data is put at risk by the contractor as a result of seizure or sequestration, insolvency or composition proceedings or as a result of any other events or measures initiated by third parties, the contractor shall immediately notify the client of this. The contractor shall immediately notify all parties responsible within this context that the client retains sovereignty over the client's personal data.
10.2 The stipulations of this agreement shall also continue to apply beyond the termination of the primary performance relationship until the complete destruction or return of all the client's personal data to the client.
10.3 If individual parts of this agreement are rendered invalid, this shall not affect the validity of the remainder of this agreement. The parties shall be obliged to define a legally valid regulation to replace the invalid regulation which comes closest to the purpose of the invalid regulation. (1) Amendments and supplements to this contract and all its components, including any assurances given by the Con- tractor, require a written agreement and express reference to the fact that it is an amendment or supplement to these terms and conditions. This also applies to the waiver of the formal requirement.
(2) Should individual provisions of this contract prove to be invalid or unenforceable in whole or in part or become invalid or unenforceable as a result of changes in legislation after conclusion of the contract, the remaining provisions of the contract and the validity of the contract as a whole shall remain unaffected.
(3) The invalid or unenforceable provision shall be replaced by a valid and enforceable provision which comes as close as possible to the meaning and purpose of the invalid provision.
(4) For all legal disputes between the parties, the Contractor shall choose the place of jurisdiction.
