Miscellaneous Responsibilities. Licensor is NOT responsible for any liability, injury, theft, security, vandalism, weather inclemency, ice melting, any obstruction, inaccessibility or inconvenience caused upon Licensee not by Licensor or beyond Licensor’s control.
Miscellaneous Responsibilities. 1. The COUNTY general responsibilities shall include:
a. Oversight of the EMS dispatch system
b. Assuring EMS system integration and coordination of activities in cooperation with EMSIA
c. Development and implementation of EMS policies and procedures
d. Enforcement of EMS rules, regulations, and policies
e. Provision of standard reports as defined in the EMS Medical Quality Assessment and Safety Plan.
2. The COUNTY is responsible for paramedic accreditation within the County’s boundaries, including accreditation of DISTRICT’S paramedics. DISTRICT’S paramedics shall be subject to accreditation requirements no more stringent than those applicable to other paramedics performing similar services within County, and COUNTY shall not unreasonably withhold accreditation of DISTRICT’S paramedics. During the term of this Agreement, DISTRICT shall be considered an authorized ALS provider for paramedic accreditation purposes.
3. The COUNTY has the authority to withdraw paramedic accreditation for cause when DISTRICT’S employees are found to be medically incompetent or negligent.
Miscellaneous Responsibilities. Upon the termination or expiration of the term of this Agreement, Global shall deliver to Casinos all books, records, insurance policies, contracts, funds, invoices, receipts, and all other records, information, data, instruments and documents in Global's possession relating to Casinos. Within thirty (30) days after such expiration or termination, Global shall render a final accounting to Casinos.
Miscellaneous Responsibilities. 1) Contractor shall make every effort to create and build goodwill and healthy public relations with adjacent land owners and the traveling public.
2) Contractor shall be responsible for all parts of the work area and the removal of all debris and surplus material, so as to leave the area in as good a condition as when the work commenced.
3) Contractor shall furnish all necessary supervision, labor, equipment, tools, transportation, and other resources for removal of trees.
4) All worked performed by the contractor will be subject to inspection by the designated Multnomah County representative, and payment will be withheld for any work not complying with the referenced specs until the deficiencies are corrected. Deficiencies shall be corrected at the sole expense of the contractor.
Miscellaneous Responsibilities. For clarity, CDPH and/or the applicable County is responsible for all activities in connection with the deployment and operation of the Program at the Site other than the Verily Activities expressly described in this Agreement. CDPH and/or the applicable County’s responsibilities include, without limitation, security, traffic control, site relations, community relations, and government relations. The applicable County will provide adequate security to safeguard all of the supplies and materials used in connection with the Program. CDPH and/or the applicable County will be responsible for operating and maintaining the Site in accordance with federal, state and local laws and regulations.

For clarity, State and/or the applicable County is responsible for all activities in connection with the deployment and operation of the Program at the Site other than the Verily Activities expressly described in this Agreement. State and/or the applicable County’s responsibilities include, without limitation, security, traffic control, site relations, community relations, government relations, and biohazard control (including containment and removal). State and/or the applicable County will provide adequate security to safeguard all of the supplies and materials used in connection with the Program. State and/or the applicable County will be responsible for operating and maintaining the Site in accordance with federal, state and local laws and regulations.
Miscellaneous Responsibilities. (a) NYLCare Mid-Atlantic shall not act in any manner that would prevent Doctors Health from efficiently performing its responsibilities under this Agreement in a business-like manner.
(b) NYLCare Mid-Atlantic shall coordinate with Doctors Health all press releases, public statements and other distributed literature, letters, notices or marketing materials pertaining to the relationship and this Agreement.
Miscellaneous Responsibilities. Developer shall:
(i) Administer, implement, adjust (subject to Section 6.2) and enforce all insurance policies and insurance requirements contemplated under this Agreement, including, without limitation, the insurance requirements set forth in Section 6.1 hereof;
(ii) Retain or hire all necessary third parties (including contractors, engineers, surveyors, architects, accountants, attorneys, consultants and other qualified personnel), in order to accomplish the duties of Developer as set forth herein;
(iii) Negotiate with any third parties including any adjacent land owners and community associations, concerning all matters relating to the Project;
(iv) In the event of an emergency at the Improvements, take any action in good faith and in the exercise of the Standard of Care believed by Developer to be required under the circumstances, and notify Comcast promptly of the emergency and any actions taken by Developer with respect thereto;
(v) Identify any necessary or desirable easements for the Project and negotiate such easements with the owners of the servient estate; administer all covenants, reciprocal easement agreements and the like affecting the Project, assist Owner in understanding and observing, and performing its covenants and obligations under all such covenants and agreements; LEGAL\19062995\17
(vi) As provided in Section 6.3, initiate, prosecute, litigate, arbitrate, mediate, defend and settle any and all manner of claims, actions, causes of action, cross-actions, suits, counter-claims, demands, litigation, arbitration, mediation, administrative (including OSHA) proceedings, and all other controversies arising from or relating to the design, development or construction of the Project;
(vii) Perform all other obligations provided elsewhere in this Agreement to be performed by Developer or reasonably believed by Developer to be desirable, necessary or appropriate to carry out its duties hereunder;
(viii) Comply with the Condominium Documents and any other matters of record affecting the Project;
(ix) Procure on behalf of the Owners title insurance coverage for their fee and leasehold interests in the Project, in such amounts and with such exceptions, coverages and endorsements, as are consistent with the Standard of Care;
(x) Provide at all times such qualified and experienced personnel as may be necessary to accomplish Developer’s responsibilities hereunder. Without limiting the foregoing, [***] shall be actively involved in oversight of the Proj...
Miscellaneous Responsibilities. 5.1. Beginning from DD.MM.XXXX, <Name of Future NB> will assume full responsibility for conformity assessment tasks and will be responsible for the timely surveillance of the Certification holder Quality Management System.
5.2. <Name of Future NB> will assume full responsibility for vigilance of all products manufactured starting from DD.MM.YYYY according to General Terms and Conditions of Business of <Name of Future NB> .
5.3. Supplementary to clauses 5a and 5b, <Name of Future NB> will assume responsibility only as preconditioned, that Certification holder follows all subjects to the related certification agreements.
5.4. The Certification holder will accept the terms and conditions of the <Name of Future NB>.
5.5. The Certification holder will pay all outstanding invoices to the <Name of Current NB> .
5.6. The Certification holder will furnish notice of transfer to the <Name of Current NB> in line with the contractual agreement in place.
