Misleading Statements. No representation or warranty by the Buyer in this Agreement or in any written statement or certificate furnished by the Buyer to the Selling Shareholder or APS pursuant to this Agreement or in connection with the transactions contemplated by this Agreement or in any related agreements, separately or when taken together, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements made not misleading.
