Common use of Misrepresentation Clause in Contracts

Misrepresentation. Neither this Agreement (including the Exhibits hereto) or any Related Agreement or any information supplied to the Business Contribution Member by or on behalf of the Company in connection with this Agreement, the Related Agreements or the transactions contemplated hereby or thereby contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statement contained herein or therein, in light of the circumstances under which they were made, not misleading.

Misrepresentation. Neither this Agreement (including the Exhibits hereto) or any Related Agreement or any information supplied to the Business Contribution Member Shareholders by or on behalf of the Company in connection with this Agreement, the Related Agreements or the transactions contemplated hereby or thereby contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statement contained herein or therein, in light of the circumstances under which they were made, not misleading.

Neither the Business Contribution Member nor any of the Shareholders knows of any facts which are reasonably likely to cause a material adverse effect on the Assets or the Business.

Neither this Agreement (including the Exhibits hereto) or any Related Agreement or any information supplied to the Business Contribution Member Company by or on behalf of the Company Business Contribution Member in connection with this Agreement, the Related Agreements or the transactions contemplated hereby or thereby contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statement contained herein or therein, in light of the circumstances under which they were made, not misleading. The Business Contribution Member knows of no facts which are reasonably likely to cause a material adverse effect on the Assets or the Business.
