Common use of Misrepresentations and Omissions Clause in Contracts

Misrepresentations and Omissions. No representation, warranty, covenant or statement by the Buyer in this Agreement, the Ancillary Agreements, the Schedules and the certificates to be furnished to the Seller pursuant to this Agreement contains or will contain any untrue statement of a Material fact, or omits or will omit to state a Material fact required or necessary to be stated to make the statements contained in this Agreement not false or materially misleading.
