Common use of Misstatements; Omissions Clause in Contracts

Misstatements; Omissions. Any representation, warranty or certification confirmed or made in any Financing Agreement or any Material Project Document (including any Advance Request or other certificate submitted with respect to any Financing Agreement or Material Project Document) by any Loan Party or in any writing provided by any Loan Party in connection with the transactions contemplated by this Agreement shall be found to have been incorrect in any material respect when made or deemed to be made.

Any representation, representation or warranty or certification confirmed or made in any Financing Agreement Loan Document by the Borrower, Holdings, or any Material Project Document (including any Advance Request or other certificate submitted with respect to any Financing Agreement or Material Project Document) by any Loan Party the Sponsor or in any writing certificate, Financial Statement or other document provided by or on behalf of any Loan such Person to any Credit Party or Independent Consultant in connection with the transactions contemplated by this Agreement the Transaction Documents shall be found to have been incorrect incorrect, false or misleading in any material respect when made or deemed to be have been made.

Any representation, representation or warranty or certification confirmed or made in any Financing Agreement Transaction Document by or on behalf of any Borrower Entity or any Material Major Project Document (including any Advance Request or other certificate submitted with respect to any Financing Agreement or Material Project Document) by any Loan Party Participant or in any writing certificate, Financial Statement or other document provided by or on behalf of any Loan such Person to any Secured Party or any Secured Party Advisor in connection with the transactions contemplated by this Agreement the Transaction Documents shall be found to have been incorrect incorrect, false or misleading in any material respect when confirmed, made or deemed to be have been made.
