Common use of MLIDC Payment of Compensation; Discharge of Obligation Clause in Contracts

MLIDC Payment of Compensation; Discharge of Obligation. Agency and ------------------------------------------------------ Broker hereby acknowledge that compensation attributable to the sale of any Contract issued by an Affiliate may be payable directly by MLIDC, in its discretion, to Agency or Broker where permitted, and not by the Affiliate. Agency and Broker further acknowledge that such payment of compensation by MLIDC attributable to the sale of such Contracts shall constitute a complete discharge of the obligation to pay compensation by the Affiliate issuer under this Agreement. The foregoing manner of payment shall not affect the right of offset or chargeback as referred to in Sections 5.3 and 5.4 of this Agreement, or other compensation rules as may be set forth in this Agreement, Exhibits A and B, or rules of the MLIDC or its Affiliates.
