M&N Group Holdings, LLC Operating Agreement. Notwithstanding any other provision of this Agreement to the contrary, the Company shall not act to amend the amended and restated operating agreement of M&N Group Holdings, LLC without a written consent signed by (a) for so long as Xxxxxxx is a Shareholder, (i) Shareholders owning more than 50% of the Outstanding Shares (excluding the Outstanding Shares owned by Xxxxxxx as of the date hereof, whether such Shares are still owned by Xxxxxxx) and (ii) Xxxxxxx and (b) if Xxxxxxx is no longer a Shareholder, (i) Shareholders owning more than 50% of the Outstanding Shares (excluding the Outstanding Shares owned by Xxxxxxx as of the date hereof) and (ii) those Persons owning more than 50% of the Outstanding Shares owned by Xxxxxxx as of the date hereof.
