MOA and Closing Deliverables. The Buyer shall have received (a) in the case of a Vessel Delivery, the MOA with respect to such Vessel Delivery, duly executed by the Seller SPV party thereto, (b) in the case of a Chartered Company Sale, the documents and instruments set forth in Annex C, and (c) all other documents and instruments required to be delivered by the Seller pursuant to Section 2.3(a) and Section 2.3(c).
MOA and Closing Deliverables. The Buyer shall have received the MOA duly executed by each Vessel SPV party thereto, and all other documents and instruments required to be delivered by the Seller and its Subsidiaries pursuant to Section 2.3(b) and the MOA.
