Common use of Mode of Execution; Counterparts Clause in Contracts

Mode of Execution; Counterparts. (a) Unless otherwise required by Applicable Law, this Agreement may be executed by: (i) an original written ink signature; (ii) an exchange of facsimile copies showing the original signature; or (iii) electronic signature technology employing computer software and a digital signature or digitizer pen pad to capture an individual’s handwritten signature in such a manner that the signature is unique to the individual signing, under the sole control of the individual signing, capable of verification to authenticate the signature, and linked to the document signed in such a manner that if the data is changed, such signature is invalidated.
