MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower or such other Person who is a party to such Other Agreement and Lender. Borrower may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

Borrower hereby consents to Lender's ’s sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's ’s rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

Borrower hereby consents to LenderBank's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, Agreement or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, LenderBank's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender Bank may request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower each Obligor or such other Person who is a party to such Other Agreement and LenderAgent. Borrower No Obligor may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrowersuch Obligor's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower Each Obligor hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Agent and Lender may request in connection with any such sale, assignment, transfer or other disposition.

Borrower hereby consents to LenderBank's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, LenderBank's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender Bank may request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by each Borrower or such other Person who is a party to such Other Agreement and Lender. Each Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements Loan Documents may not be modified, altered or amended except by an agreement in writing signed by Borrower or such other Person person who is a party to such Other Agreement Loan Document and Lender. Borrower may not sell, assign or transfer this Agreement, or the Other Agreements any other Loan Document or any portion thereof, including, without limitation, Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreementsother Loan Documents, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements The Loan Documents may not be modified, altered or amended except by an agreement in writing signed by each Borrower or such other Person who is a party to such Other Agreement and Lender. No Borrower may not sell, assign or transfer this Loan Agreement, or the Other Agreements or any portion thereof, including, without limitation, such Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Each Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Loan Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by the Borrower or such other Person who is a party to such Other Agreement and the Lender. The Borrower may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, thereof including, without limitation, the Borrower's rightsright, titlestitle, interest, remedies, powers or duties hereunder and thereunder. The Borrower hereby consents to Lender's the sale, assignment, transfer or other dispositiondisposition to a financial institution by the Lender, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, participation therein including, without limitation, Lender's rightsthe right, titlestitle, interest, remedies, powers and/or duties and of the Lender thereunder. The Borrower agrees that it shall execute and deliver such documents as a Lender may request in connection with any such sale, assignment, transfer or other disposition. This Agreement shall enure to the benefit of, and be binding upon, the parties hereto and their successors and permitted assigns.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by each Borrower or such other Person person who is a party to such Other Agreement and Lender. No Borrower may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, such Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Each Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower Parent and the Borrowers parties thereto or such other Person person who is a party to such Other Agreement and Lender. Borrower Parent and the Borrowers may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, BorrowerParent's or Borrowers' rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower The Parent and the Borrowers hereby consents consent to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it they shall execute and deliver such documents as Lender may reasonably request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower or such other Person person who is a party to such Other Agreement Agreement, and Lender. Borrower may not sell, assign or transfer this Agreement, Agreement or the Other Agreements or any portion thereof, including, without limitation, Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, Agreement or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may reasonably request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower an Obligor or such other Person who is a party to such Other Agreement and Lender. Borrower No Obligor may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrower's such Obligor’s rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower Each Obligor hereby consents to Lender's ’s sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's ’s rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by any Borrower or such other Person person who is a party to such Other Agreement and Agent and Lender. Borrower Borrowers may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrower's Borrowers’ rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower Borrowers hereby consents consent to Lender's ’s sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, therein including, without limitation, Lender's ’s rights, titles, interest, remedies, powers and/or duties duties, and agrees that it they shall execute and deliver such documents as Lender may reasonably request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower or such other Person person who is a party to such Other Agreement and LenderBank. Borrower may not sell, assign or transfer this Agreement, Agreement or the Other Agreements or any portion thereof, including, without limitation, Borrower's rights, titles, interest, interest remedies, powers or duties hereunder and thereunder. Borrower hereby consents to LenderBank's sale, assignment, assignment transfer or other disposition, at any time and from time to time hereafter, of this Agreement, Agreement or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, LenderBank's rights, titles, interest, interest remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender Bank may request in connection with any such sale, assignment, transfer or other disposition.

MODIFICATION AND BENEFIT OF AGREEMENT. This Agreement and the Other Agreements may not be modified, altered altered, amended or amended restated except by an agreement in writing signed by Borrower or such other Person who is a party to such Other Agreement the Obligors and Lender. Borrower No Obligor may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, thereof including, without limitation, Borrowersuch Obligor's rightsright, titlestitle, interest, remedies, powers or duties hereunder and thereunderthereunder without Lender's written consent. Borrower Each Obligor hereby consents to Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, participation therein including, without limitation, Lender's rightsright, titlestitle, interest, remedies, powers and/or duties and thereunder. Each Obligor agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower Borrowers or such other Person person who is a party to such Other Agreement and Lender. Borrower Borrowers may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrower's Borrowers’ rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower Borrowers hereby consents consent to Lender's ’s sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Lender's ’s rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender may request in connection with any such sale, assignment, transfer or other disposition.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by Borrower or such other Person person who is a party to such Other Agreement and LenderBank. Borrower may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, including, without limitation, Borrower's rights, titles, interest, remedies, powers or duties hereunder and thereunder. Borrower hereby consents to LenderBank's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, LenderBank's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Lender Bank may request in connection with any such sale, assignment, transfer or other disposition. 18.

This Agreement and the Other Agreements may not be modified, altered or amended except by an agreement in writing signed by the Borrower or such other Person who is a party to such Other Agreement and the Lender. The Borrower may not sell, assign or transfer this Agreement, or the Other Agreements or any portion thereof, thereof including, without limitation, the Borrower's rights’s right, titlestitle, interest, remedies, powers or duties hereunder and thereunder. The Borrower hereby consents to Lender's the sale, assignment, transfer or other dispositiondisposition to a financial institution by the Lender, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, participation therein including, without limitation, Lender's rightsthe right, titlestitle, interest, remedies, powers and/or duties and of the Lender thereunder. The Borrower agrees that it shall execute and deliver such documents as the Lender may request in connection with any such sale, assignment, transfer or other disposition. This Agreement shall enure to the benefit of, and be binding upon, the parties hereto and their successors and permitted assigns.

Each Borrower hereby consents to Collateral Agent's and Lender's sale, assignment, transfer or other disposition, at any time and from time to time hereafter, of this Agreement, or the Other Agreements, or of any portion thereof, or participations therein, including, without limitation, Collateral Agent's and Lender's rights, titles, interest, remedies, powers and/or duties and agrees that it shall execute and deliver such documents as Collateral Agent and Lender may request in connection with any such sale, assignment, transfer or other disposition.
