Common use of Modification; Derivative Works Clause in Contracts

Modification; Derivative Works. The TCEQ shall have the right, in its own discretion, to independently modify any Intellectual Property to which license is granted herein for The TCEQ’s own purposes and use, through the services of its own employees or independent contractors. The TCEQ and the PERFORMING PARTY shall jointly own all Intellectual Property Rights to such modifications. The PERFORMING PARTY shall not be responsible for or liable for any modifications by the TCEQ or the TCEQ’s employees or independent contractors of Intellectual Property licensed to the TCEQ by the PERFORMING PARTY.
