MODIFICATION; NO WAIVER. This Agreement shall not be modified or amended except by an instrument in writing signed by or on behalf of the parties hereto. No waiver of any breach of, or failure to perform or observe, any material term, covenant or agreement contained in this Agreement shall constitute or be construed as a waiver by BFC or HSBC TFS of any subsequent breach or failure or of any breach of or failure with respect to any of the other provisions of this Agreement.
