Modification of Assignment Sample Clauses
The Modification of Assignment clause governs how and under what conditions the rights or obligations under a contract can be transferred or altered. Typically, this clause requires that any changes to an existing assignment, such as transferring contractual duties to a third party or amending the terms of an assignment, must be agreed upon in writing by all relevant parties. For example, if one party wishes to assign their rights to another entity, they may need the other party's consent before doing so. Modification of Assignment. The last two sentences of Section 10.4 of the Agreement are hereby amended and restated as follows: “BioLineRx Ltd. may assign its right to receive payments hereunder to a Third Party, in its sole discretion, provided that BioLineRx Ltd. provides Ikaria with prior written notice of the assignment and the name and address of the assignee. Any such Third Party assignee may not further assign the right to receive payments hereunder without providing Ikaria with prior written notice of the assignment and the name and address of the assignee. Ikaria shall maintain a written record of any such assignments. The parties intend that this Agreement shall be considered to be in “registered form” as defined in United States Treasury Regulations Section 5f.103-1(c). BiolineRx shall not otherwise be permitted to assign this Agreement, in whole or in part, without the prior written consent of Ikaria, which approval shall not be unreasonably withheld, conditioned, or delayed. Any assignment in contravention of this Section 10.4 shall be null and void.”
Modification of Assignment. The Recipient shall not assign or transfer any interest in this Sub-Grant Agreement to any third party without the written authorisation, in the form of an Amendment to this Agreement, of KAS. Both parties will commonly agree in writing on any change in the agreement and in the budgetary agreements during the project.
Modification of Assignment. Schedule I attached to this Agreement is hereby attached as Schedule I to the Assignment.
