Neither the Borrower nor any of its Subsidiaries shall change its capital structure (including in the terms of its outstanding Stock) or otherwise amend its Constituent Documents, except for changes and amendments that do not materially affect the rights and privileges of the Borrower or any Subsidiary of the Borrower and do not materially affect the interests of the Secured Parties under the Loan Documents or in the Collateral.
