Neither Holdings nor the Borrower shall, or shall permit any of their respective Subsidiaries to, change its capital structure (including in the terms of its outstanding Stock) or otherwise amend its Constituent Documents, except for changes and amendments that do not materially and adversely affect the interests of the Administrative Agent, the Lenders and the Issuers under the Loan Documents or in the Collateral; provided that in no event shall the rights of Xxxxxxx Consumer relating to its ownership of any interest in the Borrower be amended without the prior written consent of the Administrative Agent.
